1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Verbillionaire ("we," "us," or "our") regarding your use of our AI music and art marketplace platform, including our website, services, and features (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

• You must be at least 13 years of age to use Verbillionaire
• If you are between 13-18 years old, you must have parental or guardian consent
• You must provide accurate and truthful information when creating an account
• You may only create one account per person
• Accounts are non-transferable and may not be sold or shared

3. Account Responsibilities

3.1 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach
• We are not liable for losses due to stolen or compromised credentials

3.2 Account Accuracy

• Provide accurate, current, and complete information
• Update your information to maintain accuracy
• Do not impersonate others or misrepresent your identity
• Do not use offensive, misleading, or inappropriate usernames

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms or our community guidelines
• Engage in fraudulent, abusive, or illegal activities
• Remain inactive for extended periods (180+ days)
• Pose security risks to the Platform or other users

4. Virtual Currency & Credits

4.1 Wallet System

• Verbillionaire uses an internal credit system (not real money)
• Credits are virtual currency used exclusively within the Platform
• Credits have no cash value and cannot be exchanged for real money
• We may adjust credit values, pricing, or distribution at our discretion

4.2 Earning Credits

You can earn credits through:

• Uploading music or artwork (if configured by platform)
• Selling AI prompts and tutorials
• Guild dues distributions based on rank
• Promotional events and bonuses (at our discretion)

4.3 Spending Credits

Credits can be used to:

• Purchase AI prompts and music tutorials
• Access premium artwork and music content
• Participate in platform features (subject to pricing)

4.4 No Refunds

Important: All credit transactions are final. We do not offer refunds for:

• Purchased prompts or tutorials (digital goods delivered instantly)
• Credits spent on content or features
• Mistaken purchases (verify before confirming)

Exception: Refunds may be issued in cases of technical errors, duplicate charges, or if content is unavailable/corrupted. Contact support within 7 days.

4.5 Credit Expiration

• Credits do not expire while your account is active
• Upon account termination, all credits are forfeited
• We reserve the right to implement expiration policies with 30 days notice

5. Content & Intellectual Property

5.1 User-Generated Content

When you upload content (music, art, prompts, tutorials), you:

• Retain ownership of your intellectual property rights
• Grant Verbillionaire a non-exclusive, worldwide, royalty-free license to:
  • Host, store, and display your content on the Platform
  • Distribute your content to users who purchase or access it
  • Promote your content in galleries, trending sections, and marketing
  • Create thumbnails, previews, and metadata
• This license terminates when you delete content, except for cached/archived copies

5.2 Content Standards

All uploaded content must comply with our standards. You may NOT upload content that:

• Infringes copyright, trademark, or intellectual property rights
• Contains illegal, obscene, defamatory, or hateful material
• Promotes violence, harassment, or discrimination
• Contains malware, viruses, or malicious code
• Violates privacy rights or discloses personal information of others
• Is sexually explicit or pornographic in nature
• Constitutes spam, scams, or fraudulent schemes

5.3 AI-Generated Content

• You represent that AI-generated content complies with applicable AI usage terms
• You are responsible for disclosing AI generation in content descriptions
• You warrant you have rights to commercialize AI-generated outputs
• Platform is not liable for AI content copyright disputes

5.4 Copyright Infringement (DMCA)

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).

To report copyright infringement:

2. Include:
   • Your contact information (name, email, address)
   • Description of copyrighted work being infringed
   • URL/location of infringing content on Verbillionaire
   • Statement of good faith belief
   • Statement under penalty of perjury that information is accurate
   • Physical or electronic signature

We will investigate and remove infringing content. Repeat infringers will have accounts terminated.

5.5 Content Moderation

• We reserve the right to review, flag, or remove any content
• Moderation may be automated or manual
• Content removal does not constitute acknowledgment of wrongdoing
• Appeals can be submitted to support@verbillionaire.com

6. Guilds & Social Features

6.1 Guild Creation & Management

• Users can create and manage guilds (creative collectives)
• Guild masters have full control over membership, ranks, and settings
• One user can only be guild master of one guild at a time
• Guilds must comply with all content and conduct policies

6.2 Guild Dues System

• Guilds can configure dues percentages per rank (0-100% total)
• When guild members' content is purchased, dues are distributed to higher ranks
• Dues distribution is automatic and transparent to guild members
• Lowest rank (Rank 0) must have 0% dues
• Platform does not take a cut of guild dues (100% distributed to members)

6.3 Guild Membership

• Users can join guilds by invitation or join request
• Guild masters can approve/reject join requests
• Guild masters can promote, demote, or kick members
• Members can leave guilds at any time (except guild master)
• Guild masters must transfer ownership or delete guild before leaving

6.4 Follow System

• Users can follow other users to track their activity
• Following is public (follower/following lists visible)
• Users can unfollow or block others at any time
• Blocking prevents follows, invites, and interaction

7. Prohibited Conduct

You agree NOT to:

7.1 Platform Abuse

• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with or disrupt Platform services or infrastructure
• Use automated scripts, bots, or scrapers without permission
• Exploit bugs, glitches, or vulnerabilities for personal gain
• Reverse engineer, decompile, or extract source code

7.2 Fraudulent Activities

• Create fake accounts or impersonate others
• Manipulate credits, wallets, or transaction systems
• Engage in click fraud, view manipulation, or artificial engagement
• Sell, trade, or transfer accounts or credits for real money

7.3 Harassment & Abuse

• Harass, threaten, or bully other users
• Send spam, unsolicited messages, or advertisements
• Doxx (share private information) or violate privacy
• Engage in hate speech, discrimination, or incitement

7.4 Commercial Misuse

• Resell purchased prompts or tutorials without authorization
• Use Platform content for training AI models (without permission)
• Extract bulk data for competitive or commercial purposes
• Advertise third-party products/services without permission

8. Platform Rights & Modifications

8.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any feature or service
• Change pricing, credit values, or economic systems
• Update Platform design, functionality, or user interface
• Implement new features or deprecate existing ones

Significant changes will be announced with reasonable notice (typically 30 days).

8.2 Maintenance & Downtime

• Platform may be temporarily unavailable for maintenance
• We aim to minimize downtime and provide advance notice when possible
• No credits will be refunded for temporary service interruptions

8.3 Platform Ownership

Verbillionaire and all related trademarks, logos, and branding are our exclusive property. You may not use our brand assets without written permission.

9. Third-Party Services

9.1 OAuth Login

• We offer Google OAuth for convenient login
• OAuth providers have their own terms and privacy policies
• We are not responsible for third-party service issues

9.2 External Links

• Platform may contain links to external websites
• We do not endorse or control third-party sites
• Use external links at your own risk

9.3 AI Services

• AI-generated content relies on third-party AI models
• AI outputs are provided "as-is" without guarantees
• We are not liable for AI inaccuracies or inappropriate outputs

10. Disclaimers & Limitations of Liability

10.1 "AS-IS" Service

Verbillionaire is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability, fitness for a particular purpose, or non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation
• Quality of user-generated content

10.2 Limitation of Liability

To the maximum extent permitted by law, Verbillionaire and its officers, directors, employees, and affiliates shall NOT be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from user-generated content or third-party actions
• Unauthorized access, data breaches, or security incidents
• Service interruptions, bugs, or technical malfunctions

Maximum Liability: Our total liability to you for any claims shall not exceed the greater of (a) $100 USD or (b) the amount of credits in your wallet (with no cash value).

10.3 User Disputes

• Disputes between users (copyright, payment, collaboration) are solely between those users
• We may provide contact information or mediation assistance but are not obligated to resolve disputes
• We are not liable for outcomes of user disputes

11. Indemnification

You agree to indemnify, defend, and hold harmless Verbillionaire, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms or applicable laws
• Your uploaded content or intellectual property claims
• Your use or misuse of the Platform
• Your interaction with other users
• Breach of your representations and warranties

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Before filing a legal claim, you agree to attempt informal resolution by contacting us at support@verbillionaire.com. We will attempt to resolve disputes within 30 days.

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than court litigation, except for:

• Intellectual property disputes (copyright, trademark)
• Small claims court matters (under $10,000)
• Injunctive relief requests

12.3 Arbitration Rules

• Governed by the American Arbitration Association (AAA) rules
• Conducted in English
• Location: United States (virtual hearings permitted)
• Each party bears their own legal fees unless arbitrator awards otherwise
